These Terms of Service ("Terms") govern your use of Capital Club's website, free content, newsletters, community, memberships, trade updates, educational products and related communications (the "Services"). The Services are operated by Capital Club ("we," "us," "our"), as identified in Section 19.

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. Our Privacy Policy explains how we handle personal information.

1. Read This First

Education only. Everything in the Services is general and impersonal. Nothing is financial, investment, legal, tax or accounting advice, or a personalized recommendation to buy, sell or hold any investment. Capital Club and Billy Zhang are not registered with any securities regulator. Every investment decision you make is your own. See Section 10.

Investing involves risk. You may lose some or all of your invested capital. No returns or results are guaranteed.

All sales are final, except as set out in Section 6.

2. Scope

These Terms apply to free and paid Services. The product description and order details shown at purchase identify what you are buying.

A separate written Program Agreement may apply to the Investing Accelerator, Inner Circle, coaching or another program. If it conflicts with these Terms, the Program Agreement governs for that program.

Purchases made under an earlier version of these Terms remain governed by the terms that applied when they were made.

3. The Services

We may provide educational content and frameworks (including the Bottleneck Method), market commentary, research, watchlists, trade alerts describing trades Billy Zhang places in his own accounts, community access on Discord or a comparable platform, memberships and paid programs.

All Services are educational. We do not manage money, hold client assets, place trades for you, assess whether any investment is suitable for you, or make recommendations tailored to your financial situation. Trade alerts disclose personal trades for educational discussion. They are not instructions to copy any trade, timing, position size, entry or exit.

Do not ask us what to buy, sell or hold, how much to allocate, whether an investment suits you, or for advice on your tax, debt or retirement situation, in any channel. We will decline these questions and may reframe them as general educational discussion. Declining is not a failure to deliver the Services.

4. Eligibility and Accounts

You must be at least 18, legally able to enter a binding contract, and resident in Canada or the United States. We may decline or cancel a purchase from a jurisdiction we do not serve and refund the amount paid.

You are responsible for your account information, your login credentials and all activity under your account. You may not share your account, credentials or community access with anyone.

5. Memberships and Billing

5.1 Purchase. Before you pay, checkout discloses the Services included, price, taxes, currency, payment schedule, any trial, renewal terms and cancellation terms, and lets you review and confirm your order. We will provide a copy of your contract, including your order details and these Terms, within 15 days of purchase.

5.2 Delivery. Membership access is delivered when your community role or member access is activated, which normally occurs immediately after payment unless checkout states otherwise.

5.3 Payment. Prices may change for future purchases. The price in your order governs your purchase. Card payments are processed by third parties, and applicable taxes are your responsibility. If a payment fails, we may retry it and suspend access until your account is current. By accepting a recurring plan at checkout, you authorize the disclosed recurring charges until you cancel.

5.4 Memberships renewing every 60 days or less. You may cancel at any time without penalty. Cancellation stops future renewals. Access continues until the end of the paid period, and the current period is not refunded.

5.5 Memberships longer than 60 days. You will receive a renewal notice 30 to 60 days before your renewal date. You may cancel before renewal, effective at the end of the current term, or after renewal, in which case the unused portion of the renewed term will be refunded as required by law.

5.6 How to cancel. Cancel through your billing account, open a support ticket in the Capital Club Discord server, or call 778-765-5318. Leaving Discord or ceasing to use the Services does not cancel billing.

5.7 Trials. Any trial fee, trial length and conversion to a recurring plan are disclosed at checkout. A trial converts to a recurring plan only if you accepted the recurring charges. Cancel before the conversion date to avoid the next charge.

5.8 Changes during your membership. During your membership term we may change the specific content and materials provided, the scheduling of live sessions, the platforms used to deliver the membership, and the community guidelines. A change will not increase your obligations or reduce ours, and we will give 30 to 60 days' notice before it takes effect. We will not change your price, billing frequency, access period or refund terms during your current term.

5.9 One-time and lifetime purchases. One-time purchases do not renew. A lifetime membership covers the scope and duration disclosed at purchase. It does not include access to every future product.

6. No Refunds

All purchases are final and non-refundable, including trials, memberships, renewals, lifetime memberships, digital products and program payments. We do not refund for change of mind, non-use, missed sessions, failure to cancel a disclosed renewal, trading losses or unmet expectations.

This does not affect any refund or cancellation right that cannot lawfully be waived, the renewal refund in Section 5.5, or a written guarantee or Program Agreement that applies to your purchase. We may offer a goodwill resolution in an individual case without creating a general entitlement.

Billing disputes. If a charge appears incorrect or unauthorized, open a support ticket in the Capital Club Discord server or call 778-765-5318. We will correct verified billing errors. We may provide purchase, access and communication records to your bank or payment provider to respond to a dispute, and may contest claims we believe are invalid.

7. Recordings

Live sessions and calls may be recorded for member replays and educational improvement. We will notify participants before recording. Recordings may include your display name, voice, image, shared screen, chat messages and questions, and may be available to the relevant member group. If you prefer not to be identifiable, contact us before joining.

We will not use identifiable member recordings in marketing without your permission. You may not record or redistribute any session without our written permission.

8. Community Conduct

You agree to take responsibility for your own investment decisions, treat staff and members with respect, keep other members' personal and financial information confidential, and follow posted community guidelines.

You may not share your access, redistribute or resell member content, research, watchlists or position disclosures to non-members, use our materials to operate a competing offering, harass or abuse anyone, promote other products or services without our written permission, impersonate staff, or use the Services unlawfully, including for market manipulation or trading on material non-public information.

Saving, screenshotting and taking notes for your own study is permitted. Nothing in these Terms restricts you from publishing an honest review of Capital Club.

9. Intellectual Property

Our videos, lessons, research, templates, tools and branding belong to us, Billy Zhang or our licensors. While you have authorized access, we grant you a limited, non-exclusive, non-transferable licence to use them for personal, non-commercial education. You may not redistribute, resell, publish or commercially exploit them, or give non-members access.

You keep ownership of anything you post or submit, and grant us a non-exclusive, royalty-free licence to use it to operate the Services. We will not use your name, work or testimonial in marketing without your permission.

10. No Investment Advice

10.1 General and impersonal content. Everything we provide is general, impersonal and educational. This includes trade alerts, watchlists, buy levels, price targets, portfolio updates, research, live sessions, recordings, coaching, direct messages and answers to questions. Content is provided in the same form to everyone with access to the relevant channel, product or session. It is not prepared for, or adapted to, the investment objectives, financial situation, risk tolerance or needs of any particular person.

10.2 Regulatory status. Capital Club and Billy Zhang are not registered with any securities regulator in Canada, the United States or elsewhere, and are not investment advisers, dealers, brokers, portfolio managers or financial planners. Nothing in the Services is an offer or solicitation to buy or sell any security, or a statement that any security or strategy is suitable for you.

10.3 No advisory relationship. Using or paying for the Services does not create an advisory, fiduciary, brokerage or portfolio management relationship. We do not know or consider your personal circumstances. If you share your holdings, finances or goals with us, we will not use that information to tailor content to you, and doing so does not change the general nature of the Services.

10.4 Staff, representatives and members. Our moderators, staff, contractors, coaches, sales representatives and affiliates are not authorized to give personalized investment advice or to promise or estimate investment results on our behalf. Anything they say about investing is general education only. Statements by other members are their own opinions. Do not rely on any statement, from anyone connected to Capital Club, that an investment suits you or that you can expect a particular result.

10.5 Your independent decisions. Every investment decision is yours alone. You agree that you will evaluate any information independently, that you will not rely on the Services as the sole basis for any investment decision, and that you will consider your own objectives, experience, finances and risk tolerance. You should consult a registered professional for advice specific to you. Copying a trade described in the Services is your own decision, made at your own risk.

10.6 Risk. You may lose some or all of your invested capital. Options, margin, short selling and other leveraged strategies can produce losses exceeding your initial investment. Market gaps, volatility and liquidity can prevent an intended exit, and stop orders do not guarantee an execution price.

10.7 No guaranteed results. We do not guarantee profits, income, returns or loss prevention. Past performance, testimonials, winning trades and portfolio screenshots do not guarantee future results. Selected examples may not represent a complete trading history. Hypothetical examples and projections are illustrative only. Your results may differ because of timing, execution, capital, position size, fees, taxes and market conditions.

10.8 Opinions and timeliness. Opinions, price targets, estimates and projections reflect our views at the time they are made, may be wrong, and may change without notice. Alerts and information may be delayed, incomplete, mistaken or outdated. Except as expressly described in your purchase, we are not obligated to update prior content or announce every change to a position. Do not assume silence means an earlier opinion or position is still current.

10.9 Testimonials. Testimonials describe individual experiences and are not typical or promised results. Member opinions are their own and are not endorsed by Capital Club.

10.10 Investment outcomes. To the fullest extent permitted by law, we are not responsible for any gain or loss resulting from your investment decisions, whether or not those decisions were informed by the Services.

11. Conflicts of Interest

Billy Zhang holds and trades securities in his personal accounts, including securities discussed in the Services, and may buy, sell or change those positions at any time without notice.

Where Billy Zhang or Capital Club holds a financial interest in a security being discussed, we will disclose that interest where the security is discussed. Any compensation from a third party in connection with content mentioning a security will be disclosed in the same way.

12. Communications

We send marketing email and SMS only with your consent or as otherwise permitted by law. Accepting these Terms is not marketing consent. Every marketing message includes a way to unsubscribe. Account, billing and support messages may continue after you unsubscribe from marketing.

SMS program. Where offered and you opt in, the Capital Club SMS program sends messages about your purchase or enrollment, including confirmations, onboarding, session reminders and support. Frequency varies. Reply STOP to opt out or HELP for help, or email marketswithbilly@gmail.com. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. We do not sell or share your phone number or SMS consent with third parties for their own marketing. Consent to SMS is not a condition of purchase. 13. Affiliates

If you promote Capital Club as an affiliate, referral partner or ambassador, you must clearly disclose your connection to Capital Club in every promotion, disclose any financial interest in securities you mention, make no earnings, income or performance claims, use only marketing materials we have approved in writing, and not bid on our brand name in paid advertising without written permission. A separate affiliate agreement governs compensation.

14. Termination

You may stop using the Services at any time and cancel a membership under Section 5.

We may suspend or terminate your access if you materially breach these Terms, fail to make a required payment, share access or content with non-members, harass or abuse staff or members, or engage in conduct that exposes us to legal or regulatory risk. Except for serious breaches, we will give you notice and an opportunity to fix the problem first.

On termination, your licence and access end. Termination for cause does not entitle you to a refund unless required by law. Provisions intended to survive termination, including payment obligations, intellectual property, investment risk, liability and indemnity, survive.

15. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, missed opportunities or trading losses, or for technical failures or third-party services including Discord, payment processors, brokers and charting platforms. Our total liability relating to the Services will not exceed the amount you paid us for the specific service giving rise to the claim. The Services are provided "as is" and "as available."

These limitations do not apply to fraud, wilful misconduct or any liability or consumer right that cannot lawfully be excluded.

16. Indemnity

To the extent permitted by law, you agree to indemnify us, Billy Zhang and our contractors and staff against third-party claims, losses and reasonable legal fees arising from your breach of these Terms, your misuse or redistribution of our content, your conduct in the community, or your violation of any law or third-party right.

17. Third Parties

We may reference or integrate third-party tools and services, including brokers, charting platforms, payment processors and community platforms. We are not responsible for their performance, accuracy, availability, terms or data practices.

18. Changes

We may change the Services, free content and pricing for future purchases. Written rate-lock commitments are honoured for their stated period. We may update these Terms by posting a new version with a new date. Updated Terms apply to new purchases and, after notice, to continued use of free Services. Existing memberships are subject to Sections 2 and 5.8.

19. Governing Law

These Terms are a contract between you and 1585189 B.C. LTD., a British Columbia corporation carrying on business as Capital Club. They are governed by the laws of British Columbia and the applicable federal laws of Canada. This does not deprive consumers of mandatory protections under the law of their place of residence. We encourage you to contact us first about any dispute, as most issues can be resolved quickly.

20. General

You may not assign your rights under these Terms. We may assign them in connection with a merger, reorganization or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Nothing here creates a partnership, agency or employment relationship. Our failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains in effect. These Terms, your order details and any applicable Program Agreement form the entire agreement for the Services.
